Chili Pepper Design, LLC and the Client agree that the website will be completed within 120 days of signing, unless agreed upon by both parties. In the event that the Client discontinues the project or introduces a significant delay, such as placing the project on hold for more than 60 days, Client agrees to compensate Chili Pepper Design, LLC for work completed based on a proration of the total contract amount.
Once project fee is paid in full to Chili Pepper Design, LLC, the site will go live and any elements of text, graphics, photos, contents, trademarks, or other artwork furnished to Chili Pepper Design, LLC for inclusion in website are owned by Client .
Chili Pepper Design, LLC assumes Client has permission from the rightful owner to use any photos, illustrations, code, scripts, data, and reports that are provided by Client for inclusion in its materials, and will hold harmless, protect, and defend Chili Pepper Design, LLC from any claim or suit arising from the use of such work.
Chili Pepper Design, LLC retains the right to display graphics and other web content elements as examples of their work in their portfolio and as content features in other projects.
Chili Pepper Design, LLC retains the right to assign other designers or subcontractors to any portion of the project including the use of licensed and/or unlicensed website software necessary for operation of the website.
This agreement becomes effective only when signed by agents of Client and Chili Pepper Design, LLC. Regardless of the place of signing of this agreement, Client agrees that for purposes of venue, this contract was entered into in Maryland and any dispute will be litigated or arbitrated in Maryland.
The agreement contained in this contract constitutes the sole agreement between Client and the Chili Pepper Design, LLC regarding all items included in this agreement.
